Terms of Service
1. Agreement
These Terms of Service govern the use of services provided by Sherazi Solutions Ltd, a company registered in England and Wales, including the CleanOps platform and related services.
CleanOps is offered to businesses in the United Kingdom, Australia and the United States. Sections 1 to 10 apply to everyone. Section 11 sets out the rules that apply because of where your business is, and those apply in addition to the rest of these terms.
2. Eligibility
You must be at least 18 years old and capable of entering legally binding agreements to use our services. CleanOps is provided for business use.
3. Services Provided
Sherazi Solutions Ltd provides software-as-a-service solutions and related web development services to business customers.
CleanOps helps you schedule work, record hours, raise invoices and produce pay summaries. It is not accounting, payroll, tax or legal software, and it does not calculate tax, statutory deductions or entitlements. You remain responsible for meeting the employment, tax and invoicing obligations that apply to your business.
4. Accounts
Users are responsible for maintaining the confidentiality of their account credentials and for all activity under their account. You must tell us promptly if you believe an account has been used without your permission.
5. Trials, Subscriptions and Payment
- New accounts include a 30 day free trial. The first 7 days do not require a payment card. To keep using CleanOps after them, a payment card is required, and access is paused until one is added. Nothing is charged until the trial ends, we email you 3 days before the first payment, and if you cancel before the trial ends you are not charged. One free trial per payment card: a card that has already been used for a trial is charged from the day it is added.
- After the trial, subscriptions are billed monthly in advance and renew automatically until cancelled.
- You are charged in the currency shown for your country at sign-up. Prices are set independently for each market and are not exchange rate conversions.
- Prices are exclusive of VAT, GST, sales tax and similar taxes. Where we are required to collect such a tax, it is added to your invoice.
- Payments are processed by Stripe. We do not receive or store your full card details.
- You can cancel at any time. Cancellation takes effect at the end of the billing period you have already paid for.
Our Refund Policy forms part of these terms.
6. Acceptable Use
- You must not misuse the platform.
- You must not attempt to gain unauthorised access to the system.
- You must not use the service for unlawful purposes.
7. Your Data
The information you put into CleanOps about your clients, employees and work remains yours. We process it to provide the service to you, and in accordance with our Privacy Policy.
Where that information includes personal data about other people, such as your employees and your clients, you are responsible for having a lawful basis to give it to us.
8. Intellectual Property
All software, content, trademarks, and intellectual property associated with the service remain the property of Sherazi Solutions Ltd.
9. Limitation of Liability
To the fullest extent permitted by law, Sherazi Solutions Ltd shall not be liable for indirect or consequential damages arising from use of the service.
Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded. Section 11 sets out how this works in your country, and where the two differ, Section 11 applies.
10. Termination
We may suspend or terminate accounts that violate these terms or misuse the platform.
10A. CleanOps Leads (optional add-on)
CleanOps Leads sends your business enquiries from people asking for cleaning quotes on SpotlessQuotes, our homeowner website. It is available on paid plans and only after we have approved your business. We check each business once, and we may call you as part of that check.
Who gets a lead. Each enquiry is sent to a small number of approved local businesses that cover the customer's area and offer the service asked for. SpotlessQuotes tells the customer this, and shares their details only with the businesses the enquiry is sent to. We do not guarantee how many leads you will receive, or that any lead will become a job.
Prices. Each lead has a price that depends on the service, the size of the job, how often it is needed and any extras you offer that the customer asked for, up to a maximum per lead. The price table is in your Leads Settings and the price of every lead is shown on it. The price is fixed when the customer sends the enquiry. We give at least 7 days' notice by email and in the app before any increase, and the new prices apply only to leads sent after that date.
Paying for leads. Lead charges are separate from your subscription. They are charged to your card on file when your unpaid leads reach the threshold shown in the app (for example Β£50, $50 or A$50), and anything left is added to your next subscription invoice as its own line. If you cancel your subscription, any lead balance is charged at that time. If a lead payment fails, leads are paused straight away, and your account may be suspended under the same rules as a failed subscription payment.
Reporting a bad lead. You can report a lead from the Support page within 7 calendar days of receiving it. If we approve the report, a lead you have not yet paid for becomes free, and a lead you have already paid for gives you a free lead credit, so your next lead is free. Approved reports are never refunded in money. Free lead credits have no cash value and are lost if you cancel your subscription.
Customer details. You may only use a lead's details to reply to that enquiry and, if the customer agrees, to provide and invoice the work. For that use you are responsible for the customer's personal data as an independent controller under data protection law. Contact details are removed from your Leads page 60 days after a lead arrives; clients you create from a lead stay in your account.
You can pause leads, change your coverage, services and monthly limit, or switch leads off at any time in your Leads Settings.
11. Governing Law and Local Rights
These terms are governed by the laws of England and Wales, wherever your business is based.
Some protections in your own country apply to you regardless of that choice, and we do not try to remove them. All three regions are shown below, so you can read the ones that apply to you and, if you want to, the ones that do not.
United Kingdom
Your regionThese terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
CleanOps is supplied for business use, so the Consumer Rights Act 2015 does not generally apply to your subscription.
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded under the Unfair Contract Terms Act 1977.
Australia
These terms are governed by the laws of England and Wales. That does not remove any right you have under Australian law, and you may bring proceedings in the courts of your State or Territory where Australian law gives you that right.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law, in Schedule 2 to the Competition and Consumer Act 2010 (Cth). Because CleanOps costs well under A$100,000, those guarantees apply to your business too β they are not limited to personal or household customers.
Nothing in these terms excludes, restricts or modifies those guarantees. Where the Australian Consumer Law allows us to limit our liability for failing to meet a guarantee, our liability is limited to resupplying the services or paying the cost of having them resupplied.
Where these terms and the Australian Consumer Law disagree, the Australian Consumer Law applies.
United States
These terms are governed by the laws of England and Wales, and you and Sherazi Solutions Ltd submit to the courts of England and Wales, to the fullest extent permitted by applicable law.
Some states do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages. Where that is the case in your state, the exclusions and limitations in Section 9 apply only as far as that state's law allows, and you may have additional rights.
Your subscription renews automatically until you cancel. We show you the price and the renewal period before you subscribe, and cancellation is available at any time from inside your account, consistent with automatic renewal laws including the California Automatic Renewal Law.
Nothing in these terms is intended to waive a right under the law of your state that cannot be waived by agreement.
12. Changes to These Terms
We may update these terms from time to time. If a change materially affects your rights, we will tell you by email or in the app before it takes effect.
